1. Overview

These Terms & Conditions (“Terms”) govern the use of this website and all services provided by Lodestone Security Group (“Lodestone,” “we,” “us,” or “our”).

By accessing this website or engaging Lodestone for services, you agree to these Terms.

If you do not agree, you should not use this site or purchase services.

2. Nature of Services

Lodestone Security Group provides strategic advisory and program-level consulting services in the areas of security, privacy, compliance, AI governance, and related trust architecture.

Services may include:

Starter Packages
Anchor Programs
Advisory Sessions
À La Carte engagements
Executive Sessions

All services are consultative and strategic in nature unless otherwise defined in a separate written agreement.

Lodestone does not:

Guarantee certifications or audit outcomes
Guarantee regulatory approval
Provide legal advice
Provide accounting or tax advice
Act as a certification body

Clients remain responsible for implementation decisions, operational execution, and final outcomes.

3. Professional Services Terms

3.1 Advisory & Executive Sessions

Advisory and Executive Sessions are:

Fixed-fee
Time-bound
Strategic working sessions
Decision-focused

They are not implementation engagements and do not include document drafting, control execution, or ongoing support unless separately contracted.

3.2 Payment Terms

Unless otherwise agreed in writing:

Payment is due at the time of booking or as specified in the applicable service agreement.
Advisory and Executive Sessions must be prepaid to confirm reservation.

Lodestone reserves the right to decline or cancel bookings at its discretion.

3.3 Cancellation & Rescheduling Policy

For prepaid Advisory or Executive Sessions:

Cancellations made more than 24 hours prior to the scheduled session may be rescheduled.
Cancellations made within 24 hours of the scheduled time are non-refundable.
Missed sessions (no-shows) are non-refundable.

Executive time is reserved exclusively upon booking.

For longer-term engagements, cancellation terms will be governed by the applicable written agreement.

3.4 No Guarantee of Outcomes

Lodestone provides strategic guidance based on information provided by the client.

We do not guarantee:

Certification success
Audit outcomes
Funding outcomes
Regulatory approval
Commercial performance
Legal defensibility

Clients are responsible for implementation and final decisions.

4. Confidentiality

Lodestone will treat information shared during advisory sessions and engagements as confidential and will not disclose such information to third parties except:

As required by law
With client consent
To subcontractors bound by confidentiality obligations

Confidentiality obligations do not apply to information that:

Is publicly available
Was independently developed
Was lawfully obtained from another source

For enterprise engagements, separate Non-Disclosure Agreements may apply.

5. Limitation of Liability

To the fullest extent permitted by law, Lodestone Security Group shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to the use of this website or any professional services provided, even if advised of the possibility of such damages.

The total aggregate liability of Lodestone Security Group for any claim arising out of or relating to the website or professional services shall not exceed the amount paid for the specific service giving rise to the claim.

For Advisory or Executive Sessions, total liability shall not exceed the applicable session fee paid.

6. Indemnification

You agree to indemnify and hold harmless Lodestone Security Group from any claims, damages, liabilities, or expenses arising from:

Your implementation of recommendations
Your misuse of services
Your violation of applicable laws or regulations

7. Intellectual Property

All materials, frameworks, methodologies, models, and related intellectual property developed or provided by Lodestone Security Group remain the exclusive property of Lodestone Security Group.

Clients are granted a limited, non-exclusive, non-transferable license to use deliverables internally for their own business purposes.

No license is granted for redistribution, resale, publication, sublicensing, or derivative commercial use of Lodestone’s proprietary materials without prior written permission.

Clients may not claim ownership of, modify for commercial redistribution, or represent Lodestone’s proprietary frameworks or methodologies as their own.

8. Website Use

You agree not to:

Use this website for unlawful purposes
Attempt to interfere with site functionality
Copy or distribute content without permission

All website content is protected by applicable intellectual property laws.

9. Third-Party Tools & Platforms

Lodestone may utilize third-party tools including scheduling platforms, payment processors, or communication services.

Lodestone is not responsible for third-party system outages, security incidents, or performance issues.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to conflict of law principles.

Any disputes shall be resolved in the appropriate courts located in Wisconsin.

11. Force Majeure

Lodestone shall not be liable for failure or delay in performance due to causes beyond reasonable control, including:

Illness
Natural disasters
Internet outages
Platform failures
Government action

12. Modifications

Lodestone reserves the right to modify these Terms at any time. Updates will be reflected by the “Last Updated” date.

Continued use of the website or services constitutes acceptance of revised Terms.
